1. Acceptance of Terms
These Terms & Conditions (“Terms”) are a legal agreement between Wyzmindz Solutions Private Limited (“Wyzmindz”, “we”, “us”, “our”) and you, in relation to the Workspace CRM platform, its web application, and the W CRM mobile application (bundle identifier com.advaita.workspace) — together, the “Service”.
By signing in to or using the Service, you accept these Terms. If you do not accept them, do not use the Service.
Wyzmindz Solutions Private Limited is the publisher of the W CRM application on the Apple App Store and Google Play, and is the entity responsible for these Terms. The website on which these Terms are published, and the contact address support.crm@wyzmindz.com, are operated by Wyzmindz Solutions Private Limited.
Access to the Service is provided through an organization that licenses Workspace CRM (“Organization” or “Customer”). Where a separate written agreement exists between Wyzmindz and that Organization, that agreement governs the commercial relationship and prevails over these Terms to the extent of any conflict. These Terms then govern your individual use of the applications.
2. Service Description
Workspace CRM is a multi-tenant, workflow-driven customer relationship management platform. Subject to how an Organization configures its workspace and what permissions a user holds, the Service provides functionality including:
- Secure sign-in and session management through a dedicated identity service.
- Workspace (tenant) scoped access to workflows, stages and records.
- Dynamic, administrator-configured forms — including multi-page forms, conditional fields, validation rules, calculated fields and repeating sections.
- Record listing, searching, filtering and stage progression with dispositions.
- Assignment, reassignment and reallocation of records, with allocation history.
- Dataset history, stage documents and other record-side resources.
- File and document upload, viewing and download.
- Customer communication actions and interaction history.
- In-app and push notifications.
- Local caching, form drafts and offline-tolerant behaviour on mobile.
Features actually available to you depend on your Organization’s configuration, its licence, and your assigned roles and permission codes. Not every capability described here is enabled in every workspace.
3. Eligibility
The Service is business software intended solely for professional use. You may use it only if you are an adult of legal age to enter into a binding contract in your jurisdiction, and you have been authorized by an Organization that holds a valid licence. There is no public or self-service registration; the Service is not offered to consumers or to children.
4. User Accounts
Accounts are provisioned by your Organization’s administrator. Your account identifies you within the Service and carries your workspace, roles and permissions.
- Keep your credentials confidential; do not share them or allow another person to use your account.
- You are responsible for activity carried out through your account.
- Where you enable biometric unlock on a mobile device, you are responsible for ensuring only you can unlock that device.
- Notify your Organization’s administrator, and where appropriate support.crm@wyzmindz.com, immediately if you suspect unauthorized access.
Sign-in and password management take place on the identity service’s own pages. You must not attempt to bypass, intercept or reuse your session credentials outside the applications.
5. Workspace / Tenant Access
The Service is multi-tenant: every request is resolved to a workspace (tenant) and data is stored and served within that workspace’s boundary. Your account grants access to the workspace it was provisioned in, and to nothing beyond it.
You must not attempt to access, enumerate or modify data belonging to another workspace, another organization, or another user, whether by manipulating identifiers, tokens, API requests or otherwise.
6. Roles and Permissions
Your Organization assigns roles and permission codes that determine what you can see and do — for example whether you can reallocate records, view particular stages, or use particular communication features. You must operate within the permissions granted to you and must not attempt to escalate, circumvent or spoof permission checks. Administrators may change your roles and permissions at any time, which may change or remove your access to features and data.
7. User Responsibilities
- Enter accurate, complete and lawful information into forms and records, and update it when it changes.
- Use the Service only for your Organization’s legitimate business purposes.
- Treat customer, lead and dealer information in the workspace as confidential; do not extract, copy, forward or disclose it outside the purposes authorized by your Organization.
- Follow your Organization’s internal policies, and applicable law, when contacting customers by call, SMS, WhatsApp or email through the Service.
- Keep your device secure, use a supported operating-system version, and keep the application updated.
- Do not use the Service on a device you know to be jailbroken, rooted or otherwise compromised.
8. Organization / Administrator Responsibilities
The Organization operating a workspace is responsible for:
- Provisioning, managing and deactivating user accounts, roles and permission codes in a timely manner, including on employee exit.
- Designing workflows, stages, forms and fields — and therefore for deciding what information is collected, including any location, image or document field.
- Having a lawful basis, and providing any required notices or consents, for collecting and processing information about its customers, leads, dealers and staff in the workspace.
- The accuracy, legality and retention of the content held in its workspace.
- Configuring and lawfully operating communication templates and any messaging, email or dialer integrations it enables, including compliance with rules on marketing, consent and do-not-disturb registries.
- Responding to data subject requests relating to its workspace content.
- Supervising its users’ use of the Service.
9. Acceptable Use
You may use the Service only in a manner that is lawful, that respects the rights of others, and that is consistent with its intended business purpose and the access granted to you. You must not use the Service in a way that impairs its operation, its security, or another user’s or organization’s use of it.
10. Prohibited Activities
You must not:
- Access, or attempt to access, any workspace, record, document or account you are not authorized to access.
- Probe, scan, penetration-test, overload or otherwise interfere with the Service or its infrastructure without prior written authorization.
- Reverse engineer, decompile, disassemble, tamper with, repackage or modify the applications, except to the extent such restriction is prohibited by law.
- Extract, scrape or bulk-export workspace data other than through features provided for that purpose and permitted by your Organization.
- Use automated scripts, bots or unofficial clients against the platform APIs without written authorization.
- Upload malware, or files that are unlawful, infringing, defamatory or that you have no right to share.
- Use the communication features to send unlawful, deceptive, harassing or unsolicited messages, or to contact people in breach of applicable telecom, messaging or data-protection rules.
- Misrepresent your identity, impersonate another user, or falsify records, dispositions, allocation history or interaction history.
- Remove, obscure or alter any proprietary notice in the Service.
- Resell, sublicense, rent or otherwise make the Service available to any third party.
11. CRM Data
All data held in a workspace — including customer, lead and dealer information, workflow and stage records, form submissions, dispositions, assignment and reallocation actions, allocation history, dataset history and interaction history — belongs to the Organization that operates that workspace (“CRM Data”).
Wyzmindz processes CRM Data solely to provide, secure, support and maintain the Service, in accordance with these Terms, the Organization’s instructions, any agreement with the Organization, and the Privacy Policy. The Service maintains audit-style histories so that changes to records remain traceable; you should not expect a record’s history to be silently editable or erasable.
12. Uploaded Files and Documents
When you upload a file, document or image, you confirm that you have the right to upload it and to make it available within the workspace. Uploads are subject to file type and file size limits enforced by the platform, and may be rejected if they do not meet those limits.
Uploaded files are stored against the workspace and are accessible to users whose permissions allow it. We may remove content that violates these Terms, that is unlawful, or that we are legally required to remove. Except as required for the operation of the Service, we do not monitor or review uploaded content.
13. User Content
You retain — or your Organization retains — all rights in the content entered into or uploaded to the Service. You grant Wyzmindz a limited, non-exclusive licence to host, store, transmit, process, cache, back up and display that content solely to operate and support the Service for your Organization. This licence ends when the content is deleted or when the Organization’s agreement terminates, subject to any retention required by law or by the Organization’s agreement.
14. Communication Features
The Service can initiate contact with a record’s contact in two ways: by handing off to an application on your device (dialer, messaging app, WhatsApp, email client), and — where your Organization has configured templates and providers — by asking our online services to send a templated message on a channel such as email, SMS or WhatsApp.
- Calls and messages sent through applications on your device are governed by those applications’ own terms, and by your mobile operator’s charges and terms. Wyzmindz does not place calls and does not record call audio.
- Messages dispatched through a configured provider are subject to that provider’s terms, delivery behaviour and any charges agreed by your Organization.
- Delivery of any message is not guaranteed and may be delayed, blocked or rejected by carriers, platforms or recipients.
- The Service records interaction history for the actions taken; you must not use the communication features to contact anyone in breach of applicable law or of your Organization’s policies.
15. Notifications and Device Permissions
The mobile application delivers push notifications through the push notification services operated by Google and Apple. Delivery depends on those services, on your device settings and on network availability, and cannot be guaranteed or guaranteed to be timely. Notifications are an aid, not a substitute for checking the Service.
Device permissions — notifications, location and photo/camera access — are optional and controlled by you in your device settings. Denying a permission disables only the feature that depends on it; the rest of the application continues to work. Details of how these are used are set out in the Privacy Policy.
16. Third-Party Services
The Service depends on third-party providers, including the identity service used for sign-in, the push notification services operated by Google and Apple, cloud hosting, database and file-storage providers, and — where an Organization configures them — email, SMS, WhatsApp and telephony or dialer providers. Your device’s own dialer, messaging, WhatsApp and email applications are likewise third-party software.
Those services operate under their own terms and privacy policies. We are not responsible for their availability, performance, changes or acts and omissions, and interruptions in them may interrupt parts of the Service.
17. Intellectual Property
The Service — including the mobile and web applications, the online services and interfaces behind them, design, user interface, documentation, and the names Workspace CRM and W CRM, together with associated logos — is owned by Wyzmindz Solutions Private Limited and is protected by intellectual property laws.
Subject to these Terms and to your Organization’s licence, you are granted a limited, non-exclusive, non-transferable, revocable right to use the applications for your Organization’s internal business purposes for as long as your account remains active. No other rights are granted, whether by implication or otherwise. This clause does not affect ownership of CRM Data, which is addressed in section 11.
18. Service Availability
We aim to keep the Service available and reliable, but it is provided on an “as available” basis. Availability may be affected by scheduled maintenance, emergency maintenance, upgrades, third-party service failures, network conditions, device conditions, or events beyond our reasonable control. Unless a specific service level is agreed in writing with your Organization, no uptime commitment is made.
The mobile application caches data locally and can hold drafts and queued work when connectivity is poor. Cached data may be out of date, and queued work is not complete until it has been accepted by our services. Do not rely on locally cached data as a system of record.
19. Changes to the Service
We may add, change, deprecate or remove features, and we may update the applications and the online services, at any time. Some updates may be required in order to continue using the Service. Where a change materially reduces core functionality for an Organization, we will make reasonable efforts to give notice to that Organization.
20. Suspension and Termination
Your Organization’s administrator may suspend, modify or revoke your access at any time. We may suspend or terminate access — for an individual user, or for a workspace — where there is a breach of these Terms, a security or integrity risk to the Service or its users, non-payment or expiry under the Organization’s agreement, or a legal requirement to do so.
On termination, your right to use the Service ends immediately. Provisions that by their nature should survive — including sections 11, 13, 17, 23, 24, 25, 26 and 27 — survive termination.
21. Account and Data Deletion
Accounts are created and deleted by your Organization’s administrator; the applications provide no self-service sign-up and no in-app account-deletion control. To have an account disabled or deleted, or workspace records removed, contact your Organization’s CRM administrator.
You can remove all locally stored data from your device at any time by signing out — which clears local caches, drafts and stored session credentials and deregisters the device from push notifications — or by uninstalling the application. Deletion of CRM Data held in the workspace, and the treatment of data on termination, are governed by the Organization’s agreement and instructions.
22. Pre-Release and Beta Distribution
Where the W CRM application is made available to you as a pre-release, test or beta build (for example through a beta distribution programme), it is provided for evaluation and testing only. Such builds may be incomplete, may contain defects, may change without notice, may stop working when the test period expires, and are provided without any warranty or support commitment. Do not rely on a pre-release build for business-critical work.
23. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or uninterrupted or error-free operation.
We do not warrant that the Service will meet your requirements, that defects will be corrected, that data displayed will always be complete or current, or that messages and notifications will be delivered. The Service is a tool for managing business processes; it does not provide legal, financial, tax or professional advice, and outcomes recorded in it remain the responsibility of the Organization and its users.
24. Limitation of Liability
To the maximum extent permitted by law, Wyzmindz Solutions Private Limited and its directors, employees and suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, business, goodwill, anticipated savings, or loss or corruption of data, arising out of or relating to the Service, whether based in contract, tort, negligence, strict liability or otherwise, even if advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service is limited to the amounts actually paid to Wyzmindz by the relevant Organization for the Service in the twelve (12) months preceding the event giving rise to the claim; where no amounts have been paid, our aggregate liability is limited to the maximum extent permitted by law.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation.
25. Indemnification
You agree to indemnify, defend and hold harmless Wyzmindz Solutions Private Limited and its directors, officers and employees from and against any claims, damages, liabilities, losses and reasonable costs (including legal fees) arising from: (a) your use of the Service in breach of these Terms; (b) content you upload or enter that is unlawful or infringes the rights of a third party; (c) communications you send through the Service in breach of applicable law or of your Organization’s policies; or (d) your violation of any applicable law. Where you use the Service on behalf of an Organization, that Organization is jointly responsible for these obligations.
26. Governing Law
These Terms and any dispute arising out of or in connection with them are governed by the laws of India, without regard to its conflict-of-law rules.
27. Dispute Resolution
If a dispute arises, the parties will first attempt to resolve it informally by contacting support.crm@wyzmindz.com and negotiating in good faith for at least thirty (30) days from written notice of the dispute.
If the dispute is not resolved within that period, it shall be submitted to the exclusive jurisdiction of the courts at Bengaluru, Karnataka, India. Nothing in this section prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction to protect its intellectual property, confidential information or data security.
Where a separate written agreement between Wyzmindz and your Organization specifies a different governing law, forum or dispute mechanism, that agreement prevails for matters between Wyzmindz and that Organization.
28. Changes to Terms
We may update these Terms as the Service develops or as legal requirements change. The revised Terms will be published at this address with a new Effective Date, and where a change is significant we will make reasonable efforts to notify Organizations using the Service. Continued use of the Service after the revised Terms take effect constitutes acceptance. If you do not accept the revised Terms, you must stop using the Service.
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or transfer of assets.
