Table of Contents

1. Introduction & Acceptance

Welcome to AUTOSherpa Auction (“App,” “Platform,” “Service,” “We,” “Us,” “Our”), a product owned and operated by Yocoya Technologies & Services LLP (“Yocoya,” “Company”). These Terms and Conditions (“Terms”) are a legally binding agreement between you (“User,” “You,” “Your”) and Yocoya governing your use of the AUTOSherpa Auction mobile application, associated web administration platforms, and related services.

By downloading, installing, accessing, or using this App, you agree to be legally bound by these Terms. If you do not accept these Terms in their entirety, you may not use the App.

1.1 What This Platform Is (and Is Not)

AUTOSherpa Auction is an online marketplace and bidding platform that connects vehicle Sellers and Buyers and facilitates competitive bidding on listed vehicles.

At this time, the Platform:

  • Collects and verifies KYC (Know Your Customer) documentation from Buyers — specifically an Aadhaar card, GST registration certificate, PAN card, and a signed Dealer Trade Agreement — as a condition of registration and/or bidding access (see Section 3.6). [Sellers are not currently required to complete KYC verification — confirm with the product team whether this should also extend to Sellers.]
  • Does not collect, process, or hold any Security Deposit or vehicle purchase payment within the App.
  • Is not a party to, and does not process, guarantee, escrow, or enforce collection of, any payment between a Buyer and a Seller.

All deposit payments and final vehicle purchase payments are arranged and settled entirely offline, directly between the Buyer and the Seller, outside the App. See Section 6 for what this means for you.

We may introduce in-app payment/deposit collection, and may extend KYC verification to Sellers, in the future. If we do, this Section and the related provisions of these Terms and our Privacy Policy will be updated in advance, and your continued use after such update will constitute acceptance of the revised Terms.

2. Definitions

  • “App” means the AUTOSherpa Auction mobile application and associated web-based administration platforms.
  • “User” means any person who creates an account and uses the App.
  • “Buyer” means a registered User who participates in vehicle Auctions to purchase a Vehicle.
  • “Seller” means a registered User (individual or dealership business) who lists Vehicles for Auction.
  • “Vehicle” means any motor vehicle listed for Auction through the Platform.
  • “Auction” means a time-limited competitive bidding process for a Vehicle or lot of Vehicles conducted within the App.
  • “Bid” means an offer by a Buyer, submitted through the App, to purchase a Vehicle at a specified price.
  • “Winning Bid” means the highest Bid standing at Auction closure (subject to Section 5.5, Reserve Price), which constitutes a binding commercial commitment between the Buyer and the Seller as described in Section 6.
  • “Security Deposit” means the refundable sum a Buyer may be required to pay directly to the Seller (or as otherwise arranged between them) as a condition of participating in bidding. As of the date of these Terms, the Security Deposit is not collected, held, or processed by the Platform.
  • “KYC” means Know Your Customer identity and business verification. As of the date of these Terms, the Platform requires KYC documentation from Buyers — specifically an Aadhaar card, GST registration certificate, PAN card, and a signed Dealer Trade Agreement — before granting bidding access. See Section 1.1 and Section 3.6.
  • “Tenant” / “Dealership Operator” means a dealership or business entity that licenses a white-labelled instance of the AUTOSherpa Auction Platform and operates it for its own Buyers and Sellers, with its own Super Admin/Admin users. See Section 4.4.
  • “Account” means your registered user profile on the Platform.
  • “Content” means any information, data, images, videos, or documents you upload or provide through the App.

3. Eligibility & Account Requirements

3.1 Age & Legal Capacity

  • Be at least 18 years of age.
  • Have the legal capacity to enter into binding agreements.
  • Not be prohibited by applicable law from using online auction platforms.
  • Not have been previously banned from the Platform.

For Sellers, we currently rely on your self-declaration of age and eligibility at registration (by agreeing to these Terms), as Sellers are not currently required to complete KYC verification. For Buyers, age and identity are additionally verified through the KYC documentation described in Section 3.6. You are solely responsible for the accuracy of any declaration or document you provide, and providing a false declaration or a fraudulent/altered document is a serious violation of these Terms (see Section 9).

3.2 Prohibited Users

We may refuse service to, or remove, any User who:

  • Is a minor, or lacks legal capacity to contract.
  • Is subject to a court order preventing use of such platforms.
  • Is engaged in money laundering, terrorist financing, or sanctions evasion.
  • Has a history of auction fraud, non-payment, or platform abuse.

3.3 Registration & Account Setup

By creating an account you agree to:

  • Provide accurate, complete, and current information (name/business name, contact person, email, mobile number, address, state, city, PIN code).
  • Keep this information current as circumstances change.
  • Keep login credentials confidential and not share them with others.
  • Accept responsibility for all activity on your account.
  • Immediately report unauthorized access to us or, where applicable, to your Dealership Operator’s Super Admin.

3.4 Account Security

Your responsibilities:

  • Choose a strong password and keep it confidential.
  • Log out after each session on shared or public devices.
  • Report suspicious activity immediately.
  • Secure your device with a PIN/biometric lock.

Our responsibilities:

  • Implement industry-standard technical security measures.
  • Never request your password via email, chat, or phone.
  • Provide secure session management.
  • Allow you to change your password at any time.

3.5 Buyer KYC Verification

Buyers must complete KYC verification before being permitted to bid on any Auction. This requires uploading the following documents through the App:

  • Aadhaar card (or other accepted government-issued identity proof)
  • GST registration certificate
  • PAN card
  • A signed Dealer Trade Agreement

Uploaded documents are reviewed by an Admin/Super Admin, and your account’s KYC status will show as Pending until reviewed, and Verified or Rejected thereafter. You may browse listed Auctions while KYC is pending, but you cannot place a Bid until your KYC has been verified and approved.

By submitting KYC documents, you represent that:

  • Every document you upload is genuine, current, and belongs to you (or, for a business, to the entity you are authorized to represent).
  • You have not altered, forged, or falsified any document.
  • You will promptly notify us if any submitted document expires, is revoked, or otherwise becomes inaccurate.

Consequences of false or fraudulent KYC information include immediate suspension pending investigation, permanent account termination, forfeiture of bidding privileges, and — where the conduct amounts to fraud or forgery under applicable law — referral to law enforcement.

[NOTE TO CLIENT: confirm the exact gating point — e.g., can a Buyer register and browse before KYC approval, with only bidding gated, as drafted above? Also confirm whether re-verification is required if a document expires (e.g., GST certificate renewal).]

3.6 Account Deletion

You may permanently delete your account directly within the App at any time, without needing to contact support. See Section 15.1 for details and what happens to your data, including your KYC documents (Section 15.1).

4. User Types & Roles

4.1 Buyer Account

Buyer privileges:

  • Browse all available Auctions and request access to auction lots.
  • Once KYC-verified (Section 3.5), place bids on Vehicles, including automatic (“proxy”) bidding.
  • Chat with Sellers, including sharing documents/attachments, and block a Seller if needed (Section 10.3).
  • View bidding and transaction history within the App.

Buyer responsibilities:

  • Complete KYC verification (Aadhaar, GST certificate, PAN card, and Dealer Trade Agreement) truthfully before bidding (Section 3.5).
  • Verify vehicle details before bidding.
  • Honor Winning Bids (a Winning Bid is a binding commitment — see Section 6).
  • Arrange and complete the Security Deposit and vehicle payment directly with the Seller, offline (see Section 6).
  • Arrange vehicle inspection, transportation, registration transfer, and insurance directly with the Seller.

4.2 Seller/Dealer Account

Seller privileges:

  • Create and list Vehicles for Auction, including reserve price, minimum increment, and auction duration.
  • Upload vehicle photos, videos, and inspection details.
  • Approve or reject Buyer requests to access an Auction lot.
  • Communicate with interested Buyers via chat.
  • Manage multiple Auctions and mark Vehicles as sold, and update post-sale status.

Seller responsibilities:

  • Warrant that you own the Vehicle and can transfer clear title.
  • Provide accurate, complete, and truthful vehicle information, including known defects and damage.
  • Honor Winning Bids where the reserve price (if any) is met (a Winning Bid is a binding commitment — see Section 6).
  • Collect the Security Deposit and final vehicle payment directly from the Buyer, offline (see Section 6).
  • Deliver the Vehicle, keys, and required vehicle documents (RC, ownership/title documents) directly to the Buyer as agreed.

4.3 Admin, Super Admin & Dealership Operators

The Platform may be licensed on a white-label, multi-tenant basis to individual dealerships (“Dealership Operators”), each operating under its own Super Admin/Admin account.

A Dealership Operator’s Super Admin has administrative visibility into the Buyer and Seller accounts, listings, and activity registered under that Dealership Operator’s instance of the Platform, for the purpose of operating and moderating that instance (approving registrations, reviewing listings, handling reported content/disputes).

Where AUTOSherpa Auction is operated directly by Yocoya (rather than a licensed Dealership Operator), Yocoya’s own Super Admin performs this role.

Admin/Super Admin users are governed by separate administrative agreements and confidentiality obligations, and are responsible for using any data they can access strictly for legitimate platform-operation purposes.

5. Auction Process & Mechanics

5.1 Auction Creation

Sellers can create Auctions specifying:

  • Vehicle title, description, and specifications.
  • Expected price and minimum bid amount.
  • Reserve price (optional).
  • Auction start and end date/time.
  • Minimum bid increments.

All information provided must be accurate and truthful.

5.2 Auction Access

Sellers may restrict an Auction lot to approved Buyers only. A Buyer must send a request to join a lot, which the Seller may accept or reject. Only approved Buyers may bid on that lot.

5.3 Bidding Rules

Basic bidding:

  • Bids must equal or exceed the current highest bid plus the minimum increment.
  • Bids are binding and constitute a firm offer to purchase.
  • A Bid cannot be retracted once placed, except as required by applicable law.

Automatic (“proxy”) bidding:

  • You may set a maximum bid amount and a step (increment) amount.
  • The system automatically places bids on your behalf, up to your maximum, as other Users bid.
  • You remain fully liable for any bids placed through proxy bidding.
  • You may modify or deactivate proxy bidding at any time before the Auction ends.

5.4 Auction Closure & Winner

  • The highest standing Bid at the Auction’s end time wins, subject to Section 5.5 (Reserve Price).
  • The Winning Buyer is notified immediately within the App.
  • The Winning Bid is a binding commitment between Buyer and Seller as set out in Section 6.

5.5 Reserve Price

If a Seller has set a reserve price and the highest Bid does not meet it:

  • The Seller may decline to proceed with the sale.
  • The highest bidder is notified that the reserve was not met.
  • No binding commitment arises in that instance.

5.6 Auction Withdrawal

  • Before an Auction starts: the Seller may withdraw the Vehicle without penalty.
  • While an Auction is live: the Vehicle may not be withdrawn except in genuine force majeure circumstances (Section 22); failure to honor a resulting Winning Bid may lead to account suspension (Section 15).
  • After Auction close, if reserve was met: the Auction constitutes a binding commitment as described in Section 6; withdrawal by either party without valid cause is a breach of these Terms.

6. How Payment, Deposit & Vehicle Transfer Work (Read Carefully)

6.1 Everything Financial Happens Off-Platform

The App does not collect, hold, process, or transmit any Security Deposit or vehicle purchase payment. Any reference within the App’s user interface to a deposit amount is informational only and does not trigger an in-app payment.

Buyers and Sellers are solely responsible for agreeing, arranging, and completing:

  • Any Security Deposit,
  • The final vehicle purchase price,
  • Any taxes, registration, or transfer costs,

directly between themselves, by whatever lawful payment method they agree upon, entirely outside the App. Yocoya is not a party to, and has no visibility into, control over, or liability for, these payments.

6.2 The Winning Bid Is Still a Binding Commitment

Even though the Platform does not process payment, a Winning Bid is a binding commercial commitment: the Buyer commits to purchase, and the Seller commits to sell, the Vehicle at the Winning Bid price, on the terms disclosed in the listing.

If a Buyer or Seller fails to honor a Winning Bid (for example, a Buyer who does not complete payment, or a Seller who refuses to deliver the Vehicle after the reserve was met), this is a serious breach of these Terms. We may, at our discretion and based on a report from the counterparty or our own review:

  • Issue a formal warning;
  • Temporarily suspend the User’s account pending investigation; or
  • Permanently ban the User’s account from the Platform,

in addition to any other rights or remedies the counterparty may separately pursue against the defaulting party directly (Yocoya is not responsible for recovering funds or enforcing the sale on either party’s behalf).

6.3 Dispute Between Buyer and Seller Regarding Payment or Delivery

Because payment and delivery happen off-platform, Yocoya cannot verify, mediate financial recovery, or guarantee the outcome of a payment or delivery dispute between a Buyer and Seller. We can:

  • Receive and review reports of non-completion via in-app reporting/support;
  • Take account-level action described in Section 6.2; and
  • Provide records of the auction and chat history relevant to the dispute, where legally permitted.

We strongly recommend Users take reasonable precautions when transacting offline (verifying identity, using traceable payment methods, and completing paperwork before final payment/handover).

6.4 Future Introduction of In-App Payments/Deposits

We may, in the future, integrate a payment gateway to collect Security Deposits and/or vehicle payments within the App. If we do, updated Terms describing payment processing, refunds, and related consumer protections will be published and communicated to Users in advance of that feature becoming active for their account.

7. Buyer Responsibilities & Obligations

7.1 Before Bidding

  • Verify vehicle details, condition, and history using the information, photos, and inspection report provided.
  • Read all Seller disclosures completely.
  • Ask the Seller questions via chat before bidding.
  • Understand that Bids cannot be retracted once placed.

7.2 After Winning

You must:

  • Complete the Security Deposit and/or purchase payment directly with the Seller, per Section 6, within the timeframe you and the Seller agree.
  • Cooperate with the Seller on delivery, inspection, and registration-transfer arrangements.
  • Not dispute the transaction with the Seller without valid cause.

7.3 Vehicle Acceptance

  • “As-Is” basis: Vehicles are sold as-is unless the Seller has explicitly stated a warranty in the listing.
  • No Platform warranty: We do not warrant vehicle condition, title, or fitness for purpose.
  • Your due diligence: You are responsible for inspecting the Vehicle (in person or via a representative) before completing payment.

7.4 Legal Compliance

You must comply with all applicable automotive regulations, including vehicle registration/title transfer, insurance, emissions testing, and safety inspection requirements, and must not use the Vehicle for any illegal purpose.

8. Seller Responsibilities & Obligations

8.1 Vehicle Accuracy

You represent and warrant that:

  • You own the Vehicle and can transfer clear title.
  • All vehicle information you provide is accurate and complete.
  • Photographs are authentic and unedited.
  • All known defects, damage, and accident history are disclosed.
  • Title is clear of undisclosed liens or encumbrances.

Consequences of misrepresentation may include Auction cancellation, account suspension or termination, and liability for any resulting loss to the Buyer.

8.2 Vehicle Documentation

You must be able to provide, directly to the winning Buyer:

  • Vehicle registration certificate (RC).
  • Ownership/title document.
  • Insurance documents, where applicable.
  • Any hypothecation-release or loan-clearance documents, if the Vehicle was previously financed.

We do not currently collect or store these documents on your behalf beyond what you choose to share via in-app chat with a specific Buyer.

8.3 Vehicle Delivery

You are responsible for safe storage, timely delivery to the agreed location (or facilitating Buyer pickup), and providing keys, documents, and accessories that match the auction listing description. Delivery timelines are agreed directly between you and the Buyer.

8.4 Warranty Obligations

If you offer a warranty, its terms must be clearly stated in the listing, and you are solely responsible for honoring it — the Platform is not a party to and does not enforce Seller warranties. If no warranty is stated, the Vehicle is sold strictly as-is.

9. Prohibited Activities

You agree NOT to:

9.1 Illegal Activities

  • Violate any applicable law.
  • Engage in fraud, forgery, or deception.
  • Sell prohibited, stolen, or smuggled vehicles.
  • Engage in money laundering or unlicensed business activity.

9.2 Platform Abuse

  • Manipulate Auctions through collusion or shill bidding (using fake accounts or third parties to artificially inflate bids, or coordinating with other bidders to prevent competitive bidding). Penalties: account termination and, where applicable, legal action.
  • Create multiple accounts to circumvent restrictions or bans.
  • Use bots, scrapers, or other automated tools to access the Platform.
  • Attempt to bypass security measures, hack, or gain unauthorized access.
  • Reverse-engineer or decompile the App.

9.3 Misrepresentation & Fraud

  • Provide false information about yourself, your business, or a Vehicle.
  • Misrepresent vehicle condition, specifications, or history.
  • Bid without any intent to complete the purchase.
  • Create fake/duplicate accounts or impersonate others.

9.4 Harassment & Abuse

  • Threaten, harass, or intimidate other Users.
  • Send spam or unsolicited bulk messages.
  • Post defamatory, discriminatory, hateful, sexually explicit, or otherwise objectionable content.
  • Disclose another User’s private information without consent.

9.5 Data & Security Violations

  • Attempt to access another User’s account or data.
  • Share your login credentials with others.
  • Upload malware or malicious code.
  • Attempt phishing or social engineering against other Users.

9.6 Intellectual Property

  • Infringe copyrights, trademarks, or patents.
  • Use Platform branding without authorization.
  • Copy or reuse other Users’ vehicle photos or descriptions without permission.

9.7 Vehicle-Specific Violations

  • Sell salvage vehicles without disclosure.
  • Sell vehicles with undisclosed outstanding loans/encumbrances.
  • Sell stolen or illegally obtained vehicles, or vehicles with falsified mileage.
  • List prohibited vehicles (e.g. those associated with illegal goods).

10. Reporting, Content Moderation & User Safety

10.1 Reporting Objectionable Content or Behavior

If you encounter abusive, fraudulent, or otherwise objectionable content, messages, or behavior from another User, you can report it using the in-app “Report” function, which is routed to the relevant Super Admin/Dealership Operator Admin for review.

10.2 What We Do With Reports

We (or the relevant Dealership Operator’s Admin) will review reported content and may, depending on severity: remove the content, issue a warning, suspend the account, or permanently ban the account, consistent with Section 15.

10.3 Blocking Other Users

You can block another Buyer or Seller directly from within the chat window. Once blocked, that User can no longer send you messages. You can unblock a User at any time from the same chat interface. Blocking does not automatically notify the blocked User, and does not, by itself, cancel any pending Winning Bid or auction commitment between you (see Section 6) — please also use the Report function (Section 10.1) if the behavior is abusive or fraudulent, so an Admin can take account-level action where appropriate.

10.4 Vehicle Listing Review

Vehicle listings submitted by Sellers are reviewed by an Admin before becoming visible to Buyers, and may be edited, rejected, or removed for inaccuracy or policy violations.

11. Intellectual Property & Platform Rights

11.1 Platform Ownership

All elements of the App — source code, interface design, logos, trademarks, documentation, and database structure — are owned by Yocoya Technologies & Services LLP or its licensors.

Limited license to you: a non-exclusive, non-transferable, revocable license to use the App for its intended purpose. You may not copy, modify, distribute, or create derivative works from the App, or remove any copyright/trademark notices.

11.2 Your Content

  • You retain ownership of vehicle photos and descriptions, chat messages, and reviews/ratings you provide.
  • You grant us a license to store and display this content within the App as needed to operate the Platform (e.g., displaying your vehicle photos in an auction listing, or your chat messages to the relevant counterparty).

11.3 Content Moderation

We (and Dealership Operator Admins) may remove or edit content that violates these Terms, or that is fraudulent, misleading, or otherwise objectionable.

12. Warranties & Disclaimers

12.1 “As-Is” / “As-Available”

The App is provided on an “AS-IS” and “AS-AVAILABLE” basis. We make no warranty regarding the accuracy or completeness of listings, uninterrupted or error-free operation, vehicle condition or authenticity, or the trustworthiness/solvency of any Buyer or Seller.

12.2 Implied Warranty Disclaimer

To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

12.3 Vehicle & Transaction Disclaimer

We are not a party to any vehicle sale, deposit, or payment. We do not warrant vehicle condition or title, do not guarantee that a Winning Bid will be honored or completed by either party, and are not liable for any loss arising from a Buyer’s or Seller’s failure to complete an off-platform transaction. We act solely as an intermediary that facilitates discovery, bidding, and communication between Buyers and Sellers.

12.4 Third-Party Services Disclaimer

We are not liable for the performance, availability, or data practices of third-party services we use to operate the App (see Section 20).

13. Limitation of Liability

13.1 Liability Cap

To the maximum extent permitted by law, our total aggregate liability to you for any claim arising from your use of the App shall not exceed ₹10,000 (Indian Rupees Ten Thousand).

[NOTE TO CLIENT: Since the Platform currently charges no fees and processes no payments, the conventional “amount paid to Platform in the preceding 12 months” formula would resolve to zero. We have proposed a modest fixed cap instead — confirm this figure, or an alternative, with counsel before publishing.]

13.2 Excluded Damages

We are not liable for indirect, incidental, or consequential damages, lost profits, lost business opportunity, or reputational harm, even if advised of the possibility of such damages.

13.3 Specific Exclusions

We are not liable for: failed bids due to technical issues or connectivity; service interruptions or downtime; a counterparty’s failure to complete an off-platform payment or delivery; vehicle defects discovered after purchase; or user error/misuse of the Platform.

13.4 Exceptions

These limitations do not apply to liability that cannot be limited by law, including liability for fraud or willful misconduct by us, gross negligence, or death or personal injury caused by our negligence.

14. Indemnification

You agree to indemnify and hold harmless Yocoya Technologies & Services LLP, its officers, employees, and agents from claims, damages, or costs (including reasonable legal fees) arising from: your use of the App; your breach of these Terms; your violation of applicable law; your disputes with other Users; content you upload; or your fraud, misrepresentation, or negligence.

15. Suspension & Termination

15.1 Termination by You (In-App Self-Service)

You may permanently delete your account at any time directly within the App (Account → Delete Account), without needing to contact support. Deletion requests are processed as described in our Privacy Policy. Any pending Auctions you are participating in, or transactions you have committed to, must be resolved first (or will be handled per Section 6.2 if abandoned).

15.2 Termination by Us (With Notice)

We may suspend or terminate your account for: violating these Terms; fraud or misrepresentation; failing to honor a Winning Bid (Section 6.2); repeated user complaints; or abusing other Users or Platform resources. Where practicable, we will provide notice and a reasonable opportunity to respond before final action.

15.3 Immediate Termination (Without Notice)

We may immediately suspend or terminate an account, without prior notice, in cases of suspected fraud, security threats, hacking attempts, or where required by law or court order.

15.4 Consequences of Termination

Upon termination: access is revoked; pending bids/listings are cancelled; and your data is handled per our Privacy Policy’s account-deletion and retention provisions.

16. Service Availability & Modifications

The Platform is provided on a best-efforts basis with no guarantee of uninterrupted availability. We may modify features, update the interface, or discontinue the Service with reasonable notice where the change is material. Continued use after notice of a change constitutes acceptance of that change.

17. App Updates & Compatibility

We periodically release updates for security, features, and bug fixes. Some updates may be required to continue using the App, and older versions may be disabled. The App requires a minimum OS version of iOS [XX.X] / Android [X.X] (or later) — please confirm current minimums with your development team before submission.

18. Vehicle-Specific Provisions

18.1 Vehicle Inspections

Inspections are the Buyer’s responsibility. The Platform does not provide official/independent vehicle inspections; any inspection report shown in a listing is Seller-provided information, not a Platform guarantee.

18.2 Title & Ownership

Title transfer occurs directly between Buyer and Seller. Title disputes are between Buyer and Seller; the Seller warrants they can provide clean title documents, and the Buyer is responsible for completing transfer per local regulations.

19. Compliance with Laws

You must comply with all applicable automotive regulations, vehicle registration/title transfer requirements, insurance and emissions requirements, tax obligations, data protection laws, and consumer protection regulations relevant to your use of the Platform and any resulting transaction.

Because the Platform does not currently process any in-app payment, payment-aggregator/RBI rules do not currently apply to our processing activities; this will be revisited if in-app payments are introduced (Section 6.4). Because we now collect Aadhaar as one accepted form of Buyer KYC identity proof, our collection, storage, and use of Aadhaar information is additionally governed by the Aadhaar (Targeted Delivery of Financial and Other Subsidies, Benefits and Services) Act, 2016 and applicable UIDAI circulars — see our Privacy Policy, Section 4.1.1, and the Legal Review Notice at the end of this document for important open compliance items regarding Aadhaar collection by a private entity.

20. Third-Party Services

The App is built using the following third-party service providers as of the date of these Terms:

A payment-gateway integration exists in the App’s backend code but is not active and is hidden from Users; it may be enabled in the future if and when in-app payment collection is introduced (Section 6.4).

Each third-party provider has its own terms and privacy practices. We are not responsible for their service failures, outages, or data-handling practices.

21. Communications & Notices

21.1 How We Communicate With You

We do not currently operate a support phone line.

22. Force Majeure

We are not liable for failure to perform due to natural disasters, war, government action, pandemics, utility/internet outages, or other events beyond our reasonable control. Services resume as soon as reasonably possible.

23. Entire Agreement, Severability & Waiver

These Terms, together with our Privacy Policy, are the entire agreement between you and Yocoya regarding the App. If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary (or severed), and the remaining provisions remain in effect. Our failure to enforce any provision does not waive our right to do so later.

24. Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights to an affiliate, successor (e.g., in a merger or acquisition), or a Dealership Operator licensing the white-labelled Platform for their own tenant instance; we will provide notice of any such assignment that affects your account.

25. Governing Law & Dispute Resolution

25.1 Governing Law

These Terms are governed by the laws of India.

25.2 Dispute Resolution — Arbitration

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation via our in-app/email support (allow us 30 days to respond). If unresolved, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, with:

  • Seat and venue of arbitration: Bengaluru, Karnataka, India.
  • Number of arbitrators: A sole arbitrator, appointed by mutual agreement of the parties (or, failing agreement, per the Act).
  • Language: English.

[NOTE TO CLIENT: confirm whether you want to name a specific arbitral institution/rules (e.g., an arbitration center’s rules) rather than ad-hoc arbitration under the Act — an institutional clause is often easier to enforce.]

25.3 Courts

Subject to Section 25.2, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any matter not required to be arbitrated (e.g., interim relief in aid of arbitration).

26. Survival

Provisions relating to Limitation of Liability, Indemnification, Intellectual Property, Dispute Resolution, and Governing Law survive termination of these Terms.

27. Changes to These Terms

We may update these Terms from time to time by posting the updated version in the App and, for material changes affecting your rights, providing at least 30 days’ advance notice via email or in-app notification. Continued use after the notice period constitutes acceptance.

29. Additional Terms Required for Apple App Store Distribution

If this App is made available via the Apple App Store using a custom license agreement (rather than Apple’s Standard End User License Agreement), the following minimum terms apply between you and Yocoya, as required by Apple:

  • Acknowledgment. These Terms are between you and Yocoya Technologies & Services LLP only, not Apple, and Apple is not responsible for the App or its content.
  • Scope of License. You are granted a non-transferable license to use the App only on an Apple-branded product that you own or control, as permitted by the App Store’s Usage Rules.
  • Maintenance and Support. Yocoya, not Apple, is solely responsible for providing maintenance and support for the App, to the extent required by these Terms.
  • Warranty. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App; Apple has no other warranty obligation with respect to the App.
  • Product Claims. Yocoya, not Apple, is responsible for addressing any claims relating to the App, including product liability claims, legal/regulatory compliance claims, and consumer protection claims.
  • Intellectual Property. In the event of a third-party claim that the App infringes IP rights, Yocoya, not Apple, is solely responsible for the investigation, defense, and settlement of such claims.
  • Legal Compliance. You represent that you are not located in a country subject to a U.S. Government embargo, and are not on any U.S. Government list of prohibited or restricted parties.
  • Third-Party Beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple has the right to enforce these Terms against you as a third-party beneficiary.

30. Acknowledgment

By using the App, you acknowledge that you have read and understood these Terms, agree to be legally bound by them, and have the authority to accept them.
